These Terms of Use apply to Trax and the Trax Model Context Protocol (MCP) connector (together, the Services) provided by Railway Engineering Solutions Pty Ltd (ACN 647 587 326) (RES,we, us or our).
Your organisation may have a separate written agreement with RES. That agreement takes priority if it conflicts with these terms. By accessing the Services, you confirm that you are authorised by your organisation and agree to these terms.
1. Your Trax account
You must provide accurate account information, keep your credentials secure, and promptly tell your organisation or RES if you suspect unauthorised use. You are responsible for activity performed through your account to the extent permitted by law.
2. The Trax AI connector
The connector lets a compatible AI service, such as ChatGPT, Codex or Claude, request Trax data and actions on your behalf. When you connect it:
- you choose which Trax projects the connection may access and whether it is read-only or can make permitted changes;
- every request runs with your Trax identity and existing permissions—the connector does not grant access you do not already have;
- you authorise the selected AI service to send requests to Trax and receive the results, which may include project records, documents, images and location data; and
- you remain responsible for checking AI-generated instructions and reviewing proposed or completed changes, especially before relying on them for safety, quality, compliance or construction decisions.
You can disconnect the connector or revoke its project access at any time. Terms and privacy practices of the AI service you select also apply to its handling of data.
3. Acceptable use
You must not use the Services to:
- access data or projects without permission;
- bypass security, access controls, usage limits or audit protections;
- introduce malicious code or disrupt the Services or other users;
- misrepresent AI-generated content as verified engineering evidence; or
- break any law, contractual duty or third-party right.
4. Project data and intellectual property
Your organisation retains its rights in project data supplied to Trax. You grant RES the rights reasonably needed to host, process, secure and transmit that data to provide the Services. RES and its licensors retain all rights in Trax, the connector, documentation and related software.
5. Availability and changes
We aim to keep the Services secure and available, but they may occasionally be unavailable for maintenance, incidents or circumstances outside our control. We may change or discontinue features and will provide reasonable notice of material changes where practicable.
6. Suspension and termination
We may restrict or suspend access where reasonably necessary to protect the Services, comply with law, respond to a security risk, or address a material breach. Your organisation may stop using Trax under its agreement with RES, and you may revoke an AI connector connection at any time.
7. Responsibility and liability
Nothing in these terms excludes rights or remedies that cannot lawfully be excluded, including applicable rights under the Australian Consumer Law. To the maximum extent permitted by law, the Services are provided without warranties beyond those expressly agreed with your organisation. RES is not responsible for the operation or output of a third-party AI service, or for decisions made without appropriate human review.

9. Governing law
These terms are governed by the laws of Victoria, Australia. The courts of Victoria have non-exclusive jurisdiction, subject to any applicable agreement between RES and your organisation.
